It is important to realise that employees
have rights when the Company they work for is acquired by
another business.

An employee’s rights, with certain
exceptions, will under the Contract of Employment, transfer
in its entirety upon a transfer of business;

An attempt to change a transferring
employee’s contract could, with exceptions, lead to a claim
for constructive unfair dismissal;
-
The acquiring business will be liable
for most breaches of the employee’s contract committed by
its predecessor, including equal pay and discrimination.
FOR A BUSINESS it is
important to obtain full disclosure of employees, their
contracts and details of grievances and/or disciplinary matters
during pre-contract negotiations, and obtain specialist advice
before entering into any contract.
